Terms of Service

AvoTech Consulting LLC · Effective: 2026-04-18 · Jurisdiction: South Carolina, USA

These terms govern any engagement between you ("Client") and AvoTech Consulting LLC ("AvoTech", "we", "us") when you purchase a service package, enter a custom engagement, or sign a Statement of Work referencing these terms.

1. Services

AvoTech provides boutique web development, brand identity design, site maintenance, and strategy consulting. Every engagement is custom-built and AI-augmented — delivered in days, not months. Specific deliverables for each engagement are defined in the service package description, the project intake questionnaire response, and/or a Statement of Work ("SOW") provided before work begins.

In plain EnglishWe build websites, logos, and run maintenance — and we talk about it in writing before we start so we both know what we're making.

2. Payment Terms

All fixed-price packages listed on the services page are payable in full at booking via Stripe. Custom 50/50 deposit arrangements (50% at booking, 50% at delivery) are available via intake for engagements of $5,000 and above. Monthly retainers are billed monthly via recurring Stripe charge and may be cancelled at any time with written notice from the Client — cancellation takes effect at the end of the current billing cycle.

Hourly consultations are paid at booking for the estimated hour(s). Additional time beyond the initial booking is billed at the same rate and invoiced within 5 business days of the session.

Late payments on invoices 15+ days past due may incur a 1.5% monthly late fee. Work may be paused on any project with past-due balances.

In plain EnglishPay upfront for small stuff, half-upfront for bigger stuff. Retainer auto-charges monthly — cancel whenever. Don't leave invoices unpaid or we have to stop working.

3. Refunds

If the post-booking intake questionnaire surfaces a scope or fit mismatch within 48 hours of booking, Client is entitled to a full refund, issued within 5 business days. Once Deliverable work has commenced (after scope confirmation), refunds are prorated based on effort to date.

Monthly retainer is non-refundable for the current month; cancellation stops the next cycle.

4. Revisions and Scope

Every package lists its included revision rounds. A "revision round" is a batch of requested changes delivered together. Mid-work requests during an active revision round are rolled into that round. Additional revisions beyond the included rounds are billed at the consultation rate ($175/hr) in 30-minute increments.

Changes to project scope after kickoff (adding pages, adding deliverables, changing the foundational approach) require a written scope change and may affect timeline and price.

In plain EnglishWe build it. You review. You say what needs to change. We do that as one pass. If you want to rethink the whole thing halfway through, we talk about new scope and new price.

5. Client Responsibilities

6. Ownership of Deliverables

Upon full payment, Client owns the final delivered code, designs, and assets outright. AvoTech retains the right to display the work in its portfolio, case studies, and promotional materials unless Client explicitly opts out in writing before project start.

AvoTech retains ownership of any pre-existing code libraries, snippets, or frameworks it brings to the project ("Reusables"). Client receives a perpetual, non-exclusive license to use any Reusables as delivered in the final product.

In plain EnglishOnce you've paid, what we built is yours — the code, the designs, the files. We keep the right to say "we made that" unless you ask us not to.

7. Hosting, Accounts, and Credentials

Client is responsible for securing and paying for hosting, domains, and third-party services (analytics, form handlers, CDNs, etc.) under accounts in Client's name. AvoTech will recommend and may set up these services during the engagement, but all accounts are ultimately owned and controlled by Client. Credentials shared with AvoTech during an engagement are held in confidence and destroyed on request or at engagement close.

8. Confidentiality

Each party agrees to treat the other's non-public business information, strategic plans, customer lists, and financial information as confidential. Confidentiality obligations survive termination of the engagement indefinitely for trade secrets, and for three (3) years for other confidential information.

9. Warranty and Liability

AvoTech warrants that services will be performed in a professional manner consistent with industry standards. AvoTech makes no warranty that the Deliverables will be uninterrupted, error-free, or will meet specific business outcomes or third-party platform changes.

In no event shall AvoTech's aggregate liability under any engagement exceed the total fees paid by Client for that engagement in the preceding 12 months. AvoTech is not liable for indirect, consequential, incidental, or punitive damages including lost profits or lost data.

10. Termination

Either party may terminate an engagement with 15 days' written notice. On termination: Client pays for all work completed through the termination date; AvoTech delivers all work-in-progress files and releases any credentials held on Client's behalf.

11. Governing Law

These terms are governed by the laws of the State of South Carolina, USA, without regard to conflict-of-law principles. Venue for any dispute lies in the state or federal courts located in Greenville County, SC. Parties agree to attempt good-faith resolution and, failing that, non-binding mediation before commencing litigation.

12. Changes to These Terms

AvoTech may update these terms from time to time. Changes take effect for new engagements on the effective date posted at the top of this page. Existing engagements are governed by the terms in effect at their booking date.
